Job Responsibilities:


The Corporate Counsel is responsible for managing and providing support for legal and compliance functions, overseeing the legal contracting function, and providing legal advice to a variety of internal stakeholders. This role will handle a variety of legal and compliance tasks, including:

  • Drafting and reviewing contracts including customer agreements, vendor agreements, license agreements and other legal documents
  • Negotiating contract terms with customers, vendors, and other parties
  • Providing legal advice on contract interpretation and obligations
  • Ensuring compliance with all applicable laws and regulations, including supporting the compliance and privacy department with respect to legal questions
  • Resolving any contract-related disputes or issues
  • Advising on legal matters in support of internal stakeholders
  • Collaborating with cross-functional teams to execute legal strategy
  • Assist in the drafting and reviewing SEC filings and providing support to the corporate governance function
  • Supporting the HR function, including labor and employment issues

Skills Needed:


  • Experience in in-house legal work in the healthcare industry
  • Exceptional negotiation and communication skills
  • Demonstrated ability to manage multiple contracts simultaneously and to work cross-functionally
  • Familiarity with industry-specific contract regulations and standards
  • Advanced understanding of contract law and commercial terms
  • Strong analytical and problem-solving abilities
  • Excellent written and verbal communication skills
  • Attention to detail and a meticulous approach to reviewing documents
  • Ability to work independently and as part of a team
  • Proficiency in legal research and writing

Educational Requirements & Work Experience:


  • Juris Doctor (JD) degree from an accredited law school
  • Active license to practice law in the relevant jurisdiction, or pending bar admission
  • Minimum of one year of experience as a contracts attorney or in a related legal role such as an internship or law clerk
  • Experience with contract management / lifecycle software, such as IronClad

This position has an estimated base salary of $140,000-$160,000 and cash bonus. Heartflow is an Equal Opportunity Employer.
