Position Overview
The CCO will report directly to the Chief Compliance Officer and Deputy General Counsel of ORIX USA, and will establish and lead the enterprise-wide regulatory and compliance function at Hilco. This includes oversight of all regulatory, privacy, and ethics matters across its U.S. and international operations. The CCO will work closely with the legal, regulatory and compliance functions at ORIX USA as well as Hilco’s legal team to align risk and governance frameworks while building fit-for-purpose systems and controls across Hilco’s multiple entities.

The CCO will be responsible for building a formal regulatory and compliance framework at Hilco, integrating Hilco into ORIX USA’s Compliance program, ensuring compliance with SEC (including RIA registration) and other applicable global regulatory frameworks, data privacy, anti-bribery/corruption, AML, and cybersecurity requirements.This unique position requires seamless coordination and communication within Hilco as well as between Hilco and ORIX USA to ensure alignment with strategic goals and compliance standards.

The CCO will manage a regulatory and compliance team member based in London. This is a compelling opportunity for a seasoned regulatory and compliance leader to build and lead a global compliance function at a rapidly evolving global financial services platform, backed by a world-class organization.Key ResponsibilitiesLeadership & Global Oversight• Build and lead a comprehensive global compliance program.• Manage, mentor, and develop global compliance staff.• Serve as the central compliance authority for all Hilco operating entities worldwide.• Collaborate with ORIX USA’s legal and compliance leadership to ensure strategic alignment.Program Development & Governance• Work closely with ORIX USA regulatory and compliance team to design and implement policies and controls across regulatory areas: AML, data privacy (GDPR/CCPA), anti-bribery, cybersecurity, and business conduct.• Oversee the U.S.
SEC RIA registration process and eventual program development in partnership with ORIX USA regulatory and compliance team.• Develop compliance risk assessments for activities within Hilco.• Ensure preparedness for future FCA registration in the U.K.• Embed a robust risk-based compliance monitoring framework.• Develop and lead employee training programs across jurisdictions in partnership with ORIX USA regulatory and compliance team.Regulatory Engagement & Reporting• Act as primary compliance contact with regulatory bodies, including the SEC, FCA, and other relevant global authorities.• Manage ongoing filings, registrations, and audits across multiple jurisdictions.• Liaise with external counsel, consultants, and regulators as needed.• Prepare regular reports for senior leadership and contribute to Board-level updates.Strategic & Operational Partnership• Partner with legal, risk, and operations to support Hilco’s strategic initiatives.• Provide practical, business-oriented compliance guidance to leadership and deal teams.• Contribute to investor and partner diligence processes.• Support Broker-Dealer compliance strategy where relevant in partnership with ORIX USA.QualificationsExperience & Education• 12–15+ years of experience in financial services compliance, preferably with both law firm and in-house experience.• JD strongly preferred.• Proven experience standing up and scaling compliance programs.• Familiarity with the Investment Advisers Act, global privacy laws, AML regimes, and international licensing/registration processes.• Experience in bankruptcy and restructuring a plus.• Experience interacting with relevant U.S.
and foreign regulators.Technical & Regulatory Expertise• Deep knowledge of U.S. RIA compliance obligations and SEC best practices.• Exposure to international regulatory regimes (e.g., FCA, AMLD, PDPA).• Understanding of private fund structures, business conduct risk, and emerging regulatory trends.• Experience navigating compliance in high-growth or M&A contexts is a plus.Key AttributesThe successful candidate will be a strategic leader with commercial acumen and exceptional interpersonal skills.
