About the Role

We are seeking a highly organized and proactive Corporate Paralegal to join our Legal team. This role provides essential support on a wide range of corporate legal matters, including governance, compliance, contract revisions, and corporate filings. Key Responsibilities

Support corporate governance processes, including drafting and maintaining board resolutions, meeting minutes, and governance records.
Prepare and manage a variety of corporate filings at both state and federal levels.
Assist with due diligence, contract review, and documentation for M&A and other corporate transactions.
Maintain legal records, corporate databases, and minute books.
Monitor compliance deadlines and ensure timely submissions.
Collaborate with cross-functional teams and coordinate with outside counsel.
Review and track contracts, ensuring compliance with company policies and applicable laws.

Qualifications

3–5 years of relevant experience in a corporate legal department or law firm.
Strong knowledge of corporate structures, compliance, and legal documentation.
Juris Doctor (JD) strongly preferred (Bar admission not required).
Exceptional attention to detail and organizational skills.
Clear and professional communication, both written and verbal.
Proficiency in Microsoft Office and familiarity with legal management tools.

Preferred Skills

Bilingual in English and Spanish.
German language skills and knowledge of German corporate laws (strong plus).
Experience in the direct selling industry (strongly preferred).
