POSITION SUMMARY:


The Junior Commercial Counsel will oversee all aspects of commercial contracts, including drafting, negotiation, and execution. This role will also encompass contract management, legal research, and ensuring compliance with contractual obligations and company policies. Additionally, the Commercial Counsel will support the organization by reviewing and updating contracts and policies as needed. Acting as the primary liaison with the sales team, the Commercial Counsel will coordinate legal matters to execute deals from end-to-end.

This position requires a proactive, detail-oriented legal professional capable of managing complex commercial and legal issues with a focus on achieving business objectives. The Commercial Counsel should be adaptable and open to working in rapidly evolving areas of law, including data privacy and artificial intelligence. Given the nature of the contracts, familiarity with drafting and negotiating data processing agreements and addressing legal considerations related to AI technologies will be integral to this role. 

WHAT YOU WILL BE RESPONSIBLE FOR:


  • Draft, review and update contract templates 
  • Negotiate commercial contracts from end-to-end, including data processing agreements 
  • Assist with building and improving a legal playbook for commercial transactions 
  • Draft and maintain a variety of corporate compliance policies 
  • Support sales team by providing legal and regulatory-related responses to RFPs 
  • Assist with enforcing and improving legal operational procedures 
  • Assist with the management of outside counsel related to any litigation 
  • Liaise with outside counsel for general corporate matters from time to time, as needed 
  • Assist with ‘special’ projects and internal initiatives from time to time (e.g., advise marketing personnel on privacy regulations and compliance; conduct legal research for new regulations, etc.) 
  • Additional responsibilities and duties may be assigned as required 

CANDIDATE QUALIFICATIONS & WHY YOU’RE A GREAT FIT FOR THE ROLE:


  • The Essentials
  • Juris Doctor (JD) degree from an accredited law school and active bar membership in a US state in good standing is required 
  • A minimum of 2 years of professional working experience is required in commercial transactions, with a focus on drafting, negotiating, and managing contracts  
  • Proven experience with either Software-as-a-Service (SaaS) or technology contracts is required 
  • Ability to convey complex legal concepts to non-legal stakeholders 
  • Strong attention to detail and ability to exercise sound judgment in complex legal matters 
  • Additional Successful Qualities
  • Experience negotiating terms related to intellectual property and data privacy laws, including GDPR, CPRA, and negotiating Data Processing Agreements (DPAs) 
  • Experience working with artificial intelligence products 
  • Prior in-house counsel experience, particularly in a fast-growth environment 
  • Experience with legal research in rapidly developing areas of law 
  • Exposure to international contracting and cross-border legal considerations

APRIMO BENEFITS WE OFFER:


  • Target Compensation: Annual base salary target of $110,000 to $140,000 depending on job related knowledge, skills, and level of experience. This is a general guideline only and not a guarantee of compensation or salary. Additional factors considered in extending an offer include (but are not limited to) responsibilities of the job, education, experience, knowledge, skills and abilities, as well as internal equity, alignment with market data, or other law.  Bonus program that pays out quarterly

PHYSICAL REQUIREMENTS:


  • Must be able to remain in stationary position, often standing or sitting for prolonged periods and performing sedentary work that primarily involves sitting/standing  
  • Must be able to move about to accomplish tasks or moving from one worksite to another 
  • Must be able to perform light physical work that includes lifting or moving objects up to 20 lbs. or medium work that includes moving objects up to 50 pounds on occasion 
  • Must be able to communicate with others to exchange information, including conveying detailed or important spoken instructions to others accurately, loudly, or quickly 
  • Must possess the ability to receive detailed information through oral communication at normal speaking levels 
  • Must be able to repeat motions that may include the wrists, hands and/or fingers (i.e., repeated typing, etc.) 
  • The worker is required to have close visual awareness to perform an activity and to assess the accuracy, neatness and thoroughness of the work assigned, such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading.  
  • This job operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets, etc.
